2. Purpose and scope
These General Terms and Conditions of Sale (hereinafter "Terms") govern all contractual relations between Ivodel (hereinafter "Ivodel" or "the Seller") and any natural person or legal entity (hereinafter "the Customer") purchasing products or services offered on the website ivodel.com.
Any order placed on the website implies the Customer's full and unreserved acceptance of these Terms. The Customer expressly waives the right to invoke its own purchase terms. Any deviation from these Terms must be agreed upon in writing in advance.
Ivodel reserves the right to modify these Terms at any time. The Terms applicable are those in force on the date the order is placed.
3. Products and services
Ivodel markets in particular:
- Software licences for 3D orthodontic analysis and planning (in particular DeltaFace, Axioscopy, Wallet);
- Associated hardware accessories (USB protection keys, brackets, etc.);
- Services (training, technical support, software updates).
The essential characteristics of products and services are described on the corresponding product pages. Photographs and illustrations are provided for guidance only and do not bind the Seller.
4. Order
The Customer places an order directly online on ivodel.com after logging in or creating a customer account. The order is validated upon express acceptance of these Terms and confirmation of payment.
Ivodel reserves the right to refuse or cancel any order in the event of: a prior dispute with the Customer, suspected fraud, or a manifest error in price or description.
Every validated order is acknowledged by an e-mail confirmation sent to the Customer.
5. Prices
Prices displayed on the website are in euros (€). For business customers (B2B), prices are shown excluding tax (excl. VAT); for consumers (B2C), prices are shown including all taxes (incl. VAT).
Shipping costs, where applicable, are indicated when the order is finalised. Applicable VAT depends on the country of delivery, in accordance with the EU "OSS" (One-Stop-Shop) scheme for B2C sales within the European Union.
Ivodel reserves the right to modify its prices at any time. Products will be invoiced at the rates in force at the time the order is registered.
6. Payment
Payment is made when the order is placed, by the means proposed on the website (credit card, bank transfer, SEPA direct debit where applicable). Online payments are secured by our payment service provider.
For orders invoiced on credit terms (business customers only), invoices are payable within 30 days of the invoice date, unless otherwise agreed. In the event of late payment, late-payment interest equal to three times the legal interest rate shall apply automatically by operation of law, with no reminder being required, together with a flat-rate recovery indemnity of €40 (article L. 441-10 of the French Commercial Code).
If a payment remains outstanding for more than sixty (60) days, Ivodel reserves the right to suspend access to the affected services and software licences and to initiate any amicable or judicial recovery procedure.
7. Delivery — Licence activation
For physical products, delivery takes place at the address specified by the Customer when ordering, by the carrier chosen by Ivodel. Delivery times are provided for guidance only.
For software licences, activation is performed electronically. An activation key and/or a USB dongle are provided to the Customer. Licences are nominative and may not be assigned or transferred without the prior written consent of Ivodel.
Risk transfers to the Customer upon handover of the products to the carrier (B2B) or upon delivery to the Customer (B2C).
8. Software licences
Software published by Ivodel is granted under a non-exclusive, non-transferable user licence, limited to the Customer's internal use. The Customer acquires no ownership rights over the software.
Any reproduction, decompilation, disassembly, modification, translation or adaptation of the software, in whole or in part, is strictly prohibited without the prior written authorisation of Ivodel, except in cases expressly provided for by law.
The Customer undertakes to use the software in accordance with its intended purpose and in compliance with the laws and regulations in force, particularly those relating to the protection of personal health data.
9. Right of withdrawal (consumers)
In accordance with article L. 221-18 of the French Consumer Code, consumer Customers have a period of fourteen (14) days from receipt of the product to exercise their right of withdrawal, without having to provide reasons or pay penalties.
This right of withdrawal does not apply to: contracts for the supply of digital content not provided on a tangible medium where performance has begun with the consumer's prior express agreement (article L. 221-28 13° of the Consumer Code), which includes the immediate activation of downloadable software licences; or to software whose seal has been broken.
To exercise the right of withdrawal, the Customer sends a request by e-mail to contact@ivodel.com. Reimbursement is made within fourteen (14) days at the latest after receipt of the returned product, using the means of payment used for the order.
10. Warranty
Physical products benefit from the legal guarantee of conformity (articles L. 217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (articles 1641 et seq. of the French Civil Code).
Software licences benefit from a warranty of conformity to the specifications published at the time of purchase. Ivodel undertakes to correct, within reasonable timeframes, any blocking anomalies duly reported by the Customer.
Ivodel cannot be held liable for damage arising from non-compliant use of the software, unauthorised modification, or incompatibility with a hardware or software environment not recommended by Ivodel.
11. Customer service and technical support
Ivodel customer service is available by e-mail at contact@ivodel.com and via the customer portal (https://ivodel.com/my) for support requests and maintenance ticket follow-up.
Requests are handled in the order they are received and according to their priority level, with a target turnaround of two (2) business days.
12. Intellectual property
All elements making up the ivodel.com website (texts, graphics, logos, images, photographs, videos, databases, software, layouts) as well as the software published by Ivodel are the exclusive property of Ivodel or its partners, and are protected by copyright, trademark law and applicable intellectual property law.
Any reproduction, representation, modification or exploitation, in whole or in part, in any form whatsoever, without Ivodel's prior written authorisation, is strictly prohibited and constitutes an infringement punishable by articles L. 335-2 et seq. of the French Intellectual Property Code.
13. Personal data protection
In accordance with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and the amended French "Informatique et Libertés" Act, the Customer has rights of access, rectification, erasure, restriction of processing, portability and objection regarding personal data concerning them.
These rights may be exercised by sending a request to contact@ivodel.com, accompanied by proof of identity.
The data collected is necessary for the performance of the contract (order management, delivery, invoicing, support) and may, subject to the Customer's consent, be used for commercial communication purposes. It is retained for the duration necessary for the purpose pursued, in compliance with statutory retention periods.
14. Liability
Ivodel undertakes to use all reasonable means to ensure the quality and availability of its products and services. Save in cases of gross or wilful misconduct, Ivodel cannot be held liable for indirect or immaterial damages (loss of business, loss of data, commercial loss).
In any event, Ivodel's liability is limited to the amount actually paid by the Customer in respect of the disputed order during the last twelve (12) months.
15. Force majeure
Ivodel cannot be held liable for failure to perform any of its obligations in cases of force majeure within the meaning of article 1218 of the French Civil Code, including in particular: natural disaster, fire, armed conflict, epidemic, failure of an internet access or hosting service provider, cyber-attack, blocking of means of transport.
16. Applicable law and jurisdiction
These Terms are governed by French law. In the event of a dispute, the parties shall endeavour to find an amicable solution before any legal action.
Failing this, and for business Customers, any dispute shall fall within the exclusive jurisdiction of the Colmar Commercial Court. For consumer Customers, the legal rules on jurisdiction shall apply.
In accordance with article L. 612-1 of the French Consumer Code, consumer Customers may have free recourse to a consumer mediator with a view to amicably resolving a dispute with Ivodel. The mediator appointed by Ivodel is:
